These Wholesale Terms and Conditions "Agreement" govern the wholesale purchase of products from Morocco Craft "Seller" or "Supplier" by you "Wholesaler" or "Buyer". By placing an order with us, you acknowledge that you have read, understood, and agreed to be bound by these terms and conditions.

Wholesale Orders and Pricing:

1.1. All orders are subject to acceptance by the Seller.

1.2. Wholesale pricing will be provided to the Buyer upon request or as outlined in a separate agreement.

1.3. The pricing is based on FOB "Free On Board" terms from Marrakech or Casablanca, Morocco, unless otherwise stated.

1.4. The minimum order quantity and any applicable discounts will be communicated to the Buyer.

Payment Terms:

2.1. Payment terms will be communicated to the Buyer and agreed upon prior to order placement.

2.2. Unless otherwise specified, payment shall be made in the currency stated in the invoice.

2.3. Late payments may incur additional fees or interest charges.

Deposit Policy:

3.1. A deposit of 60% of the total order value must be paid at the time of placing the order.

3.2. All deposits made are non-refundable in the event that the client breaches any terms of the contract. This includes, but is not limited to, failure to comply with agreed-upon schedules, terms of service, or any other contractual obligations. Additionally, if the client requests to stop the processing of their orders, the deposit will not be refundable under any circumstances. 

Shipping and Delivery:

4.1. The Seller will arrange for the shipment of the ordered products to the designated location, as agreed upon between the parties.

4.2. The Buyer is responsible for any applicable shipping, insurance, and customs fees unless otherwise stated.

4.3. The risk of loss or damage to the products passes to the Wholesaler upon delivery.

Please be aware that your delivery might face delays due to customs, which is beyond our control. Additionally, prices do not include customs duties and taxes.

If you refuse to pay your country's import taxes upon delivery, the shipping costs will not be refunded, and your parcel might be returned to the sender.

Product Quality and Returns:

5.1. The Seller warrants that the Morocco Craft products delivered will conform to the agreed specifications and will be free from defects.

5.2. The Buyer must inspect the products upon receipt and notify the Seller within eight "8" days from the date of receipt of the Goods of any discrepancies, defects, or damages.

5.3. Returns or exchanges will be considered on a case-by-case basis and must be authorized by the Seller in advance.

Original shipping fees are non-refundable, and return shipping costs are the customer's responsibility. We are not liable for any packages that are lost or missing during shipping.

REFUND REQUIREMENTS:

To be eligible for a refund, the following conditions must be met:

- The product is defective
- The product is not as described
- The product is unused
- The product is undamaged

All returns will be inspected to ensure these criteria are met. If the product does not satisfy these conditions, we reserve the right to deny the refund.

Confidentiality:

6.1. Any information shared by the Seller with the Buyer, including pricing, product specifications, and trade secrets, shall be treated as confidential.

6.2. The Buyer shall not disclose or use such confidential information for any purpose other than fulfilling the obligations under this Agreement.

6.3. The Buyer agrees that the catalogs, pricelists, or any information provided by the Seller, specifically marked as confidential or bearing the designation "Morocco Craft," shall not be shared with any third party without explicit written permission from the Seller.

Termination:

7.1. Either party may terminate this Agreement upon written notice if the other party materially breaches any of its obligations and fails to remedy the breach within a specified timeframe.

7.2. Termination of this Agreement shall not relieve the parties of any payment obligations accrued prior to the termination.

Entire Agreement:

8.1. This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements or understandings, whether written or oral, relating to the subject matter herein.

By placing an order, the Buyer acknowledges and agrees to abide by these Wholesale Terms and Conditions. This Agreement is effective as of the date of order placement and remains in effect until terminated as per its provisions.
